Terms of service
Effective from .
1. Who these terms are between
These terms are an agreement between JPE IT AB, trading as Pixonaut, a Swedish limited company with organisation number 559240-5855, VAT number SE559240585501 and postal address Kivra: 559240-5855, 106 31 Stockholm, Sweden (“Pixonaut”, “we”, “us”), and the business that creates a workspace in the Pixonaut studio (“you”). Creating an account, or using a workspace you were invited to, accepts these terms and the privacy policy.
Pixonaut is offered to businesses only. By accepting these terms you confirm that you act on behalf of a business, not as a consumer, and that you may bind that business to them.
2. The service
Pixonaut lets a business design product templates, offer them to its own customers (“shoppers”) on its own site through the Pixonaut SDK, the API or hosted pages, and turn each finished design into print files and orders. It includes the studio, the API, the SDK, Pixel (the AI assistant), and connections to print partners.
3. Accounts and workspaces
Each member signs in with their own account. You are responsible for who you invite to your workspace, for what they do in it, and for keeping your API keys secret. Tell us at once at [email protected] if you believe an account or a key has been misused.
4. Plans, fees and payment
The plans and their fees are those shown on the pricing page and in the studio when you choose a plan. Every price is in euros, excluding VAT. VAT is added as the law of your country requires; a business in another EU country that gives a valid VAT number is charged no VAT, under the reverse charge, and accounts for it itself.
Fees are charged in advance for each billing period, monthly or yearly, to the card or other payment method saved through our payment provider, Stripe. A fee is not refunded for a period already begun, unless the law requires it.
You may cancel a plan, monthly or yearly, at any time from the studio’s billing page. A cancelled plan runs to the end of the term already paid for, and the workspace then moves to the free plan, keeping what it made.
Fair use
What a paid plan offers without a limit stated on the pricing page is subject to these fair-use limits, per workspace:
- At most 200 text messages a month on a paid plan.
- At most 50 custom domains on the Business plan.
Credits and order packs
Credits, which pay for metered actions such as a picture Pixel generates or an upscale, and order packs, which pay for a pro workspace’s orders past those its plan includes, are bought once, not subscribed to. Bought credits and order packs are not refunded. They never expire while the workspace exists, and they end with it: a deleted workspace’s unspent credits and orders are gone. A plan’s monthly allowance of credits expires at the end of its month, as the studio shows.
Automatic top-up buys an order pack when a workspace’s order balance runs low, as the workspace’s admin has set it up: on or off, and which pack. While it is on, you authorise us to charge the workspace’s saved card for that pack without anyone present. A declined charge stops automatic top-up until a card is saved, a pack is bought by hand, or an admin turns it on again, and that charge is never collected later.
Failed payments
If a payment fails, our payment provider tries it again over the following days, and the workspace keeps its plan while it does. If the payment is still not made when those attempts end, the subscription ends and the workspace moves to the free plan, keeping what it made. A failed payment does not suspend a workspace; we suspend one only as section 10 describes.
Price changes
We give you at least 30 days’ notice of a price change, by email to the workspace’s billing contact, before it applies to you. You may leave before it applies.
On the free plan, the hosted pages, the SDK’s designer and the emails a workspace sends through Pixonaut carry a “Powered by Pixonaut” attribution. A workspace on the free plan that builds its own designer on the API keeps an equivalent, visible attribution to Pixonaut in it. Paid plans may remove it.
5. Pixel and generated pictures
Pixel, the AI assistant, answers members’ questions, makes changes in the workspace when asked, and generates, upscales or cuts out pictures. Each answer and each generated or upscaled picture spends credits, at the price or estimate the studio shows; an action that fails costs nothing.
Pixel’s answers, and the changes it makes in the workspace, are produced by AI and are not guaranteed to be correct. The member is responsible for checking them before relying on them or ordering from them: a template, a print file or an order Pixel made or changed is checked like any other before it is published or sent to print.
The member is responsible for the prompts they give Pixel and for what the workspace does with its output: checking it before it is published, printed or sold, and making sure it infringes no one’s rights. Generated output can be wrong, can resemble existing works and may not be protectable by copyright. We give no warranty on output Pixel or a picture provider generates, as to its accuracy, its originality or its fitness for any purpose.
The AI providers we use process your prompts, pictures and conversations only to answer the request they were sent with, and never train their models on them, as the Subprocessors page names for each.
6. Your content
You own what you and your shoppers put into Pixonaut: templates, pictures, fonts, text, designs, print files and orders (“your content”). We take no ownership of it and no perpetual licence to it. You grant us only the right to store, process and transmit your content as far as needed to provide the service to you, and that right ends when your content is deleted.
Your content, and your shoppers’ content, is never used to train AI models, ours or any provider’s. The AI providers we use process it only to answer the request it was sent with.
You are responsible for having the rights to everything you upload, including pictures, fonts, colour profiles and licence files, and for your shoppers’ content being lawful to print.
Your shoppers
You tell your shoppers, in your own privacy notice, that Pixonaut processes what they upload and type into a design, and an order’s recipient details, on your behalf to render their designs and fulfil their orders. You are their contact for their personal data, as section 7 describes.
Uploaded ICC profiles
A workspace that uploads its own ICC colour profile holds the licence for it. Pixonaut does not license uploaded profiles and is not responsible for the licensing of a profile you upload; we use it only to produce your own print files.
Fonts you upload
A workspace that uploads its own font holds the licence for it and is responsible for that licence covering how the workspace uses it. When a member uploads a font, they confirm on the workspace’s behalf that it holds those rights. By uploading it, you grant Pixonaut the right to store the font files; to unpack them, which turns a web font into the font file it packs, a collection into its separate fonts and a variable font into the styles you choose; to convert and subset the results into the formats the service draws from; to serve them to your shoppers’ browsers, so that your templates are drawn in the font; and to embed them in the print files sent to your printshop or fulfilment partners. Pixonaut does not check, and does not license, fonts you upload, and takes no responsibility for their licensing. A licence file you attach is stored as you gave it and shown to your workspace’s members; we do not read it.
7. Data protection
For the personal data of your shoppers that passes through Pixonaut — an order’s recipient, a design’s text and pictures, its print files — you are the controller and Pixonaut is the processor. For the account data of your members — their accounts, sessions, preferences and the audit log — Pixonaut is the controller, as the privacy policy describes.
The Data processing agreement is part of these terms: accepting these terms accepts it, with no separate signature needed. We send you a countersigned PDF copy on request to [email protected].
Pixonaut’s storage and hosting are in the European Union. The vendors that process personal data for us, the AI providers among them, are named on the published list of Subprocessors. We give you 30 days’ notice of a new or replaced subprocessor, and you have the right to object to it as the data processing agreement describes.
We notify you of a personal data breach that affects your data without undue delay and within 48 hours of becoming aware of it.
Retention and erasure
Uploaded pictures, a design’s content, its print files and an order’s recipient data are erased the number of days after an order is finished that your workspace has chosen, within the bounds the studio offers. You can also erase an order’s or a design’s personal data sooner, on request. Library assets you upload yourself are kept until you delete them.
A picture a shopper uploads and no design keeps, such as one left in a designer that was never submitted, is deleted when the workspace’s upload retention ends: seven days after the upload by default.
Custom printshops
A custom printshop you configure in your workspace (by email, HTTP, FTP or SFTP delivery) receives the order data you send it as your own recipient. It is not Pixonaut’s subprocessor, and you are responsible for having a lawful basis and an agreement with it.
8. Availability
We work to keep Pixonaut available and secure, but at launch we make no uptime promise and offer no service level. We may carry out maintenance, and we tell you ahead of planned work that we expect to interrupt the service.
9. Acceptable use
You are responsible for what is made, uploaded and printed in your workspace, by your members and by your shoppers. You may not use Pixonaut, and may not let your shoppers use it, to make, store or print:
- anything that infringes someone else’s copyright, trademarks or other rights, counterfeit prints among them: a product passed off as another brand’s, or bearing a logo or character you have no licence for;
- sexual or pornographic content;
- child sexual abuse material, in any form, drawn or generated included. We remove it at once and report it to the police;
- content that promotes hate against people for who they are, harasses or threatens someone, or promotes or glorifies violent extremism or terrorism;
- anything that offers or advertises illegal goods or services;
- anything else that is unlawful where it is made, sold or delivered.
Nor may you use it to spread malware, to attack, probe or overload the service or anyone else’s systems, to reach another workspace’s data, or to get around its limits, its credits or its billing.
Reporting illegal content
Anyone may report content they believe is illegal, or breaks this section, by writing to [email protected] with the subject “Illegal content report”. A report says where the content is (a link, or the shop and the product), why it is believed illegal, and how to reach the person reporting it, unless they report child sexual abuse material, which may be reported anonymously.
The report is handled by JPE IT AB. We confirm we received it within two business days, decide on it without undue delay and within seven days, and tell the person who reported it and the workspace concerned what we decided and why, and how to contest it. Content that endangers someone’s safety, and child sexual abuse material, are acted on within 24 hours. We may remove or disable content, or suspend a workspace, while we decide.
10. Suspension and termination
You may stop using Pixonaut and delete your workspace at any time.
We give you written notice, with the reason, at least 30 days before we terminate your account or your workspace. We may suspend a workspace sooner only where the law requires it, or where it is used in breach of section 9 in a way that harms others or the service, and we then tell you why without delay.
When a workspace leaves
A plan that ends, cancelled or unpaid, deletes nothing: the workspace moves to the free plan and keeps what it made, as section 4 describes.
Deleting a workspace deletes it at once, with its data and every member account that belongs to no other workspace, and cannot be undone: take what you need out of it first. Its files are deleted shortly after, and the last backup holding them within 30 days.
When we terminate a workspace, you can take its data out until the termination takes effect, during the 30 days’ notice we give; we then delete it.
In every case we keep what the law requires us to keep, such as accounting records.
11. Liability
Our total liability to you under these terms, for all claims together, is limited to the fees you paid us in the 12 months before the event that gave rise to the claim. Neither party is liable to the other for indirect or consequential loss, such as lost profit or lost data that could have been restored from a backup. These limits do not apply to loss caused by gross negligence or wilful misconduct, or where the law does not allow them.
12. Force majeure
Neither party is liable for a delay or a failure to perform these terms, other than to pay what it owes, caused by events beyond its reasonable control that it could not have avoided or overcome, such as natural disaster, war, epidemic, an act of government, a general failure of power or networks, or a failure of a hosting or print provider caused by such an event. The party affected tells the other without delay and resumes as soon as it can. If such an event lasts more than 60 days, either party may end the agreement on written notice.
13. Changes to these terms
We give you at least 30 days’ notice, by email and in the studio, before a change to these terms takes effect. If you do not accept the change, you may leave before it takes effect. This page shows the date the version in force took effect, and a coming change with the date it takes effect.
14. General
Order of precedence
These terms, the Data processing agreement and the plan you chose in the studio together make up the agreement. Where they disagree, the Data processing agreement prevails on the protection of personal data, these terms prevail on everything else, and the plan prevails only on its fees and limits.
Assignment
You may not transfer the agreement, or your rights under it, to someone else without our written consent. We may transfer it to a company that takes over the service, or to one in the same group as JPE IT AB, and tell you when we do.
Entire agreement
The agreement is the whole of what the parties agreed about the service, and replaces anything said or written about it before.
Severability
If a court finds part of the agreement invalid or unenforceable, the rest stays in force, and the part is read as closely to its purpose as the law allows.
Notices
We send you notices by email to the workspace’s admins and billing contact, and in the studio. You send us notices by email to [email protected], or by post to JPE IT AB, Kivra: 559240-5855, 106 31 Stockholm, Sweden.
15. Governing law and disputes
These terms are governed by the laws of Sweden, without regard to its rules on the choice of law. Any dispute is settled by the courts of Sweden, with Stockholms tingsrätt (Stockholm District Court) as the court of first instance.
